Terms of Service

These terms apply to anyone visiting zyrolab.com and to clients engaging ZyroLab for design, engineering, or AI work. Detailed commercial terms for each engagement are set out in the corresponding Statement of Work.
Acceptance
By using the site or signing a Statement of Work with us you agree to these terms. If you do not agree, please do not use the site or the services.
Our services
ZyroLab provides product design, full-stack engineering, AI integration, and growth engineering on a fixed-scope or retainer basis. The exact scope, timeline, and deliverables for an engagement are defined in a Statement of Work signed by both parties.
Fees and payment
Fees, milestones, and invoicing cadence are set out in the Statement of Work. Unless agreed otherwise, invoices are due net 14 days from issue. Late payments may pause active work until the balance is cleared.
Intellectual property
On full payment of fees for a deliverable, ownership of that deliverable — including source code, designs, and brand assets — transfers to the client. ZyroLab retains the right to use generic know-how, frameworks, and non-confidential techniques developed during the engagement on future projects.
Confidentiality
We treat anything not publicly available about your business as confidential by default. We are happy to sign your NDA or use our mutual NDA template before the first call.
Warranties and disclaimers
We aim to deliver work of professional quality. To the extent permitted by law, the site and services are provided “as is” without warranties of merchantability or fitness for a particular purpose. We do not warrant that the site will be uninterrupted or error-free.
Limitation of liability
To the maximum extent permitted by law, our aggregate liability under any engagement is limited to the fees paid by the client to ZyroLab in the three months preceding the event giving rise to the claim. We are not liable for indirect, incidental, or consequential losses.
Termination
Either party may terminate an engagement by written notice as set out in the Statement of Work. On termination, the client pays for work completed up to the termination date and ownership of paid-for deliverables transfers as above.
Governing law
These terms are governed by the laws of the jurisdiction stated in the Statement of Work, or — in the absence of one — the jurisdiction in which ZyroLab is registered. Disputes will first be addressed in good faith between the parties.

We may update these terms over time. The current version is always available at zyrolab.com/terms and the “Last updated” date reflects the most recent change.
